Advanced Programs Inc. (API)

      Compass Advisers, LLP ("Compass") is pleased to announce the acquisition of the Advanced Programs, Inc. ("API") operating unit from DRS Technologies, a government security services entity creating custom-packaged computers and peripherals for the military.  API provides government and industry with high quality, integrated system solutions across a broad range of computer architectures and operating environments.  Products include TEMPEST data processing equipment such as computers, networking gear and printers created to reduce or eliminate the electromagnetic emissions that might post a potential security risk by revealing sensitive and/or classified information.

      DRS determined API to be non-core and gave its managers an option to acquire the business.  Compass acted as financial advisor, placement agent and principal investor in the management buyout of API, sponsoring management's acquisition of the business through privately-raised capital.  Compass negotiated and structured the transaction, raised equity capital, secured debt financing and co-invested in the equity.  Principals of Compass were actively involved in the business and maintained Board representation.
