Telegraaf Media Groep (Sweden/Netherlands/Ukraine)

Compass Advisers, LLP ("Compass") is pleased to announce the sales of selected assets by global media company Telegraaf Media Groep, N.V. ("TMG"). Over the past year, Compass helped Netherlands-based TMG implement extensive cost-reduction strategies suited to the economic climate, including divesting non-core activities and adjusting its multi-media portfolio through acquisitions and disposals.
TMG's Swedish operations (TTG Sverige A.B.), primarily consisting of magazines and their corresponding internet sites, were sold to LRF Media, the third largest publisher of magazines in the Swedish market, on December 2, 2008. The Swedish assets included a portfolio of magazines and internet sites in the top segment of the home, interior and design, sailing, boating and golfing and women's magazine markets.
In April 2009, TMG completed the sales of multiple Dutch publishing and related segments including the titles Elegance, Residence, CosmoGirl! and Hitkrant to Pelican Magazines Hearst and, separately, the sale of an 80% interest in TTG Bloom v.o.f. (publisher of JAN magazine) to Gruner+Jahr Publishers.
In addition, TMG's Ukraine portfolio of magazines, including the corresponding internet sites, were reduced and digital activities were sold, with the transactions complete in April 2009.
With the execution of these sales, Compass helped TMG to streamline its portfolio and enhance the value of its core competencies. Initially, all assets seemed likely to be sold to a single buyer. However, with the increased economic challenges in the latter part of 2008, it became clear that the appropriate action was to split the assets into "packages" related to each country. Compass negotiated with several potential acquirors, ultimately completing the sales in Sweden and the two transactions in the Netherlands under separate formal auction processes, while simultaneously completing the disposal activities in the Ukraine.
